1. The agreement
These Terms & Conditions ("Terms") are an agreement between you and Somocloud ("Somocloud", "we", "us") for use of the website at somocloud.org, school portals on its subdomains, and the Somocloud mobile apps (together, the "Service").
If you use the Service on behalf of a school, you confirm you are authorised to accept these Terms for that school. A school may also sign a separate service agreement with us; if it conflicts with these Terms, the signed agreement applies.
How we handle personal data is explained in our Privacy Policy, which forms part of these Terms.
2. Accounts
- Accounts are created by a school or by Somocloud for a school. Your school decides your role and what you can see.
- Give accurate information and keep it up to date.
- Keep your password and login codes private. You are responsible for activity on your account.
- Tell your school or us right away if you suspect unauthorised access.
3. School responsibilities
Each school using Somocloud is responsible for:
- the accuracy of the learner, staff, assessment and fee records it enters;
- having a lawful basis, including any parental consent needed, for the personal data it uploads;
- managing who in the school has access, and removing access when staff leave; and
- checking reports, report cards and government returns before sharing or submitting them.
4. Acceptable use
You agree not to:
- access data you are not authorised to see, or try to get around security or permissions;
- upload malicious code, or disrupt or overload the Service;
- copy, resell, or reverse engineer the Service, except where the law allows;
- use the Service to harass, threaten or harm anyone, or to share unlawful, abusive or misleading content; or
- use learner or parent information for any purpose other than the school's legitimate work.
We may suspend accounts that break these rules.
5. Subscriptions and fees
Schools may start with a free pilot. After the pilot, use of the Service is billed according to the plan and pricing agreed with the school. Unless agreed otherwise:
- invoices are payable within 14 days;
- fees are quoted in Kenya Shillings and exclude applicable taxes;
- we may pause access to a school account with overdue fees after giving notice; and
- we will give at least 30 days' notice of any price change.
Parents and staff are not charged by Somocloud to use the parent portal or the mobile app.
6. School fee payments
When parents pay school fees through M-Pesa or a bank, the money goes to the school's own Paybill or bank account, not to Somocloud. Somocloud records and matches payments to learner accounts and issues receipts. Payment providers' own terms apply to those transactions. Questions about fee amounts, refunds or balances should be directed to the school.
7. Your content
Schools and users keep ownership of the data and content they put into Somocloud ("your content"). You give us permission to store, process and display your content only as needed to provide and support the Service.
Schools can request an export of their data at any time while their account is active and for 90 days after it ends.
8. Our intellectual property
The Service, including its software, design, logos and the Somocloud name, belongs to Somocloud and its licensors. Teaching resources in the Data Bank are provided for use within your school; do not republish or sell them without permission.
9. AI features
Some features use artificial intelligence to suggest or adapt lesson plans and teaching resources. AI output can contain mistakes. Teachers should review it before use in class. Somocloud does not guarantee that AI-generated content is accurate or complete.
10. Availability and changes
We work to keep Somocloud available and reliable, including offline support in the mobile app. Occasional downtime may happen for maintenance, updates or reasons outside our control, such as network or power outages. We may add, change or remove features over time; we will give reasonable notice before removing a core feature a school relies on.
11. Disclaimers and liability
The Service is provided "as is" and "as available". To the extent the law allows:
- we are not liable for indirect or consequential losses, such as lost profits, lost opportunities or loss of goodwill;
- we are not responsible for errors in data entered by a school or its users, or for decisions made based on that data; and
- our total liability to a school for any claim is limited to the fees that school paid us in the 12 months before the claim.
Nothing in these Terms limits liability that cannot be limited under Kenyan law.
12. Suspension and termination
A school may stop using Somocloud at any time by notifying us. We may suspend or end access if these Terms are seriously breached, if fees remain unpaid after notice, or if the law requires it. After termination, we will make the school's data available for export for 90 days and then delete it, as described in our Privacy Policy.
Individual users can ask to delete their account at any time. See Delete your account.
13. Governing law and disputes
These Terms are governed by the laws of Kenya. We will first try to resolve any dispute through good-faith discussion. If that fails, the dispute will be handled by the courts of Kenya.
We may update these Terms from time to time. We will post the new version here and update the "Last updated" date. Continuing to use the Service after changes take effect means you accept them.
